1. Scope
These general terms and conditions of sale (GTC) apply to all sales contracts between the seller named above (the “seller”) and customers, whether consumers or businesses (the “customer”), concluded through the SodiumStorage.ch website or on the basis of the offers published there.
Different or additional terms of the customer do not apply, even if the seller does not expressly object to them. Deviations are only valid if confirmed in writing by the seller.
The seller is an independent importer of Heiwit products for Switzerland. Heiwit S.p.A. (Varese, Italy) is the manufacturer and is not a party to the sales contract.
2. Offer and conclusion of the contract
The presentation of products and prices on the website is not a binding offer but an invitation to submit an offer.
By sending the order, the customer submits a binding offer to purchase. The automatic acknowledgement and the confirmation page only confirm receipt of the order and do not constitute acceptance.
The contract is only concluded when the seller accepts the order in writing, by sending the order confirmation or the pro forma invoice, or by dispatching the goods. The seller may refuse an order without giving reasons, in particular in case of insufficient availability, errors in prices or product data, doubts about solvency or delivery outside Switzerland.
Before sending, the customer sees the order summary and can correct the data entered. The customer is responsible for the accuracy of the data provided.
3. Prices
Prices are stated in Swiss francs (CHF) and include Swiss value added tax (8.1%). Transport, delivery and dangerous goods handling costs are not included unless stated otherwise and are shown in the pro forma invoice.
Prices are calculated from the manufacturer’s euro price list at the reference exchange rate shown on the website. Until the order is accepted, the seller may adjust prices in the event of changes in the exchange rate, manufacturer prices, taxes or transport costs; in that case the customer may withdraw the order free of charge. The price stated in the pro forma invoice is binding.
Obvious pricing, typing or calculation errors are not binding on the seller.
4. Payment
Payment is made in advance by bank transfer on the basis of the pro forma invoice, within 10 days of its receipt. The goods are only prepared and shipped after the full amount has been received. No payments are accepted before the order is confirmed.
If payment is not received within the deadline, the seller may cancel the order without further notice. In case of default, interest of 5% per year is due (Art. 104 CO); reminder costs are reserved.
The customer may not set off the seller’s claims against its own claims unless these are acknowledged in writing or established by an enforceable judgment. The customer may not assign rights under the contract to third parties without the seller’s written consent.
5. Retention of title
The goods remain the property of the seller until the purchase price has been paid in full. The seller is entitled to have the retention of title entered in the competent register (Art. 715 CC); the customer undertakes to cooperate.
6. Delivery and transfer of risk
Deliveries are made only to addresses in Switzerland. Delivery times are indicative and not binding unless confirmed in writing as fixed dates. Partial deliveries are permitted.
For items not yet available or orderable from the manufacturer (for example batteries whose market launch is in 2027), lead times depend on the manufacturer. In case of delay, the customer may, after setting a reasonable additional period in writing, withdraw from the contract and obtain a refund of the amounts paid; any further claims, in particular for damages for delay, are excluded to the extent permitted by law.
Batteries are dangerous goods (ADR, class 9) and are delivered by specialised carriers to ground level at the kerbside. The customer ensures suitable access to the place of delivery and takes care of unloading and transport inside the building.
Benefit and risk pass to the customer when the goods are handed over to the carrier (Art. 185 CO). If delivery is postponed for reasons attributable to the customer, risk passes upon notice that the goods are ready; storage and redelivery costs are borne by the customer.
In the event of force majeure, supply difficulties not attributable to the seller or delays by the manufacturer, deadlines are extended accordingly. If delivery becomes impossible, the seller may withdraw from the contract by refunding the amounts already paid, without further obligation.
7. Inspection of goods and notice of defects
The customer must inspect the goods immediately upon delivery. Visible transport damage must be noted on the carrier’s delivery note and reported to the seller in writing within 3 days, with photographs.
Other recognisable defects must be notified in writing within 7 days of delivery, hidden defects immediately upon discovery. Without timely notice, the goods are deemed accepted (Art. 201 CO).
8. Warranty
The products are covered by the manufacturer’s warranty under the applicable Heiwit warranty conditions published on heiwit.com (for the battery: 10 years or an energy throughput limit, whichever is reached first). The seller forwards warranty claims to the manufacturer and coordinates repair or replacement.
For defects existing at the time risk passes, the seller repairs or replaces the product at its option. If repair or replacement fails within a reasonable period, the customer may claim a price reduction or, for material defects, rescission of the contract. Any further warranty is excluded to the extent permitted by law. For consumers, the two-year limitation period from delivery (Art. 210 CO) and the other mandatory provisions remain reserved.
The warranty requires installation by a qualified electrician in accordance with the manufacturer’s instructions and Swiss standards, connection to compatible inverters and use indoors in accordance with the datasheet. Excluded in particular is damage caused by incorrect installation, commissioning or maintenance, overvoltage, third-party interventions, improper use, non-compliant transport or storage, normal wear and force majeure.
For any claim, the customer provides proof of purchase, serial numbers, the installation or commissioning report and, where available, monitoring data. Returns require the seller’s prior written authorisation. Dismantling, reassembly and transport costs are borne by the customer if the claim proves unfounded or not covered by the warranty.
Technical data, images and documents come from the manufacturer and describe the product without constituting warranted characteristics. The manufacturer may modify products in line with technical progress.
9. Installation and grid connection
Storage systems and inverters may only be installed, connected and commissioned by professionals holding the authorisations required under Swiss law, in compliance with the low-voltage installation regulations and the requirements of the network operator.
The customer is responsible for notifications, connection requests and required permits. The seller does not warrant that a product will be approved by the network operator or is suitable for a particular installation unless confirmed in writing. Italian certifications, such as those under the CEI 0-21 standard, do not replace Swiss requirements.
Technical advice from the seller is given without obligation and does not release the customer and its installer from checking the suitability of the products.
10. No right of withdrawal, returns
Swiss law does not provide a general right of withdrawal for online purchases. Accepted orders are binding.
A return is only possible with the seller’s prior written consent, for new goods that have been neither installed nor connected, in intact original packaging. In that case the seller retains a handling fee of 20% of the price of the returned goods; transport costs, including dangerous goods costs, are borne by the customer. Items procured specifically for the customer cannot be returned.
11. Liability
The seller is only liable for damage caused intentionally or through gross negligence. Liability for slight negligence, for indirect or consequential damage, loss of profit, loss of energy production or self-consumption, loss of data and damage to third-party installations is excluded to the extent permitted by law (Art. 100 CO). In any case, liability is limited to the price of the product concerned.
Mandatory liability under the Product Liability Act and liability for personal injury remain reserved.
12. Disposal
Batteries and electrical and electronic equipment must not be disposed of with household waste. At end of life, the customer hands them in at the collection points provided for by Swiss regulations; on request, the seller indicates the take-back options.
13. Data protection
The seller processes the customer’s personal data in accordance with the Federal Act on Data Protection (FADP) and only to handle orders, deliveries, payments, warranty claims and communication with the customer. Where necessary, data is disclosed to carriers, banks, the manufacturer for warranty cases and the website’s technical service providers: the website server is located in the European Union, network protection is provided by Cloudflare and emails are sent via Resend, with processing also in the United States. The customer may at any time request information about their data, its correction or deletion by writing to the seller.
14. Applicable law and jurisdiction
Swiss substantive law applies exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) and the conflict-of-law rules.
The exclusive place of jurisdiction is the seller’s registered office. For consumers, the mandatory jurisdiction at their place of residence remains reserved (Art. 32 CPC).
15. Final provisions
Should any provision of these GTC be invalid, the remaining provisions remain valid; the invalid provision is replaced by the valid provision that comes closest to its economic purpose.
The version of the GTC published at the time of the order applies. The GTC are available in Italian, French, German and English; in case of discrepancy, the Italian version prevails.
